1. Purpose

These terms govern the use of the MPass service (website and app) published by Soufiane Mehdi Project Management Services L.L.C (“MPass”, “we”). MPass allows clubs and associations (“the Customer”) to create membership cards and tickets in Apple Wallet and Google Wallet, import their members and scan the passes at the door. By creating an account, the Customer accepts these terms.

2. Account and team

The account is opened by a person authorised to bind the Customer. The Customer may invite members of its team; it remains responsible for their actions and for keeping access credentials confidential.

3. Plans and prices

The Free plan is limited to 50 active passes and 1 active event, with no time limit. The Essential (€19 per month) and Pro (€49 per month) plans are billed monthly or annually (one month free). Prices are stated excluding VAT; the applicable VAT is added at checkout according to the Customer’s country. The applicable prices are those shown on https://mpass.be/en/pricing/ at the time of the order. Any price change is announced at least 30 days in advance and applies from the next renewal.

4. Free trial

Paid plans include a 14-day trial without a credit card. At the end of the trial, without a subscription, the account reverts to the Free plan; passes beyond the limits remain displayed but can no longer be updated.

5. Payment and invoicing (Paddle)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: Paddle collects the payment, issues the invoice, applies the VAT of your country, handles payment-related customer service and processes refunds. Payment is made by card. Invoices are issued by Paddle and sent by email with each payment. The Customer can view and change its payment method in the app (Plan and billing).

6. Term, renewal and cancellation

The subscription has no minimum commitment. It renews automatically for the same period (month or year) unless cancelled. The Customer may cancel at any time from the app; cancellation takes effect at the end of the paid period, without a refund for the current period, subject to the refund policy (art. 7). MPass may terminate an account in the event of non-payment after a reminder, or of use contrary to these terms.

7. Right of withdrawal and refunds

The Customer has 14 days from the first payment for a paid plan to request a full refund, without giving any reason, by writing to hello@mpass.be or to Paddle (paddle.net). Renewals are not refunded, except in the event of prolonged unavailability of the service attributable to MPass. See the refund policy.

8. No collection on behalf of the Customer

MPass never collects membership fees, ticket payments or any other sums on behalf of the Customer. Amounts entered in the app are indicative; members and participants pay the Customer directly, by the means the Customer chooses. MPass is neither a payment service provider nor a financial intermediary.

9. Customer obligations

The Customer warrants that it has the right to use its members’ data and to transfer it to MPass, that it informs them in accordance with the GDPR, and that it does not use the service for unlawful or misleading content or content that infringes the rights of third parties. The Customer is responsible for the content of its cards, tickets and messages.

10. Personal data

MPass processes members’ data on behalf of the Customer (as processor) and the Customer’s account data as controller. The details are set out in the privacy policy and in the data processing agreement provided in the app. Data is hosted in the European Union.

11. Availability and support

MPass is provided “as is” with an availability target of 99.5% per month, excluding announced maintenance. The display of passes depends on Apple Wallet, Google Wallet and PassFast, over which MPass has no control. Support is provided by email at hello@mpass.be, in English, French, Dutch and German, on working days.

12. Liability

To the extent permitted by law, MPass’s liability is limited to the amounts paid by the Customer over the previous 12 months. MPass is not liable for indirect losses (loss of members, loss of revenue, damage to reputation) or for the consequences of non-compliant use, a failure of third-party services or force majeure.

13. Intellectual property

MPass remains the owner of the service, its designs and its code. The Customer retains ownership of its data, its logo and its content, and grants MPass the right to use them to provide the service. The Customer can export its data at any time from the app.

14. Changes

MPass may change the service and these terms. Material changes are notified by email 30 days before they take effect; a Customer who does not accept them may cancel free of charge before that date.

15. Governing law and disputes

These terms are governed by the law of the Emirate of Dubai and the federal laws of the United Arab Emirates, without prejudice to the mandatory provisions protecting the Customer in its country of residence. In the event of a dispute, the parties first seek an amicable solution by writing to hello@mpass.be. Failing agreement within 60 days, the courts of Dubai have jurisdiction.
